• BAE Systems C-ITS AB acquires Pitch Technologies AB
  Mannheimer Swartling has assisted BAE Systems C-ITS AB with the acquisition of the Swedish system-development company Pitch Technologies AB.BAE Systems is the world´s third largest defence company and operates across five continents. In Sweden the company is represented by three companies, among them BAE Systems C-ITS AB which is a world leading supplier of education and training solutions within the defence industry.Pitch Technologies AB is a company based in Linköping which has a world leading position in the development of simulation systems and associated products and services. Through the acquisition BAE Systems has gained access to cutting edge technology within distributed simulation systems.
• Kendrion N.V. divests Kendrion Automotive Metals
  Mannheimer Swartling has assisted the Dutch listed company Kendrion N.V. in connection with the divestment of Kendrion Automotive Metals. Buyer is Gnosjö-Gruppen Holding AB. Kendrion Automotive Metals develops, manufactures and distributes components for bodywork, driveline and interior for cars and trucks. The group has approximately 700 employees in Sweden, Germany, Slovakia and Hong Kong and its turnover is in excess of SEK 1 billion. The purchase price was approximately SEK 385 million on a cash and debt free basis. The transaction is conditional upon clearance from the Swedish competition authorities.Jan Holmius was the partner in charge assisted primarily by Johan Swahn and Jonas Holmqvist. Oliver Schulte and Nellie Schiebeler were responsible for matters relating to the German operations and Åsa Jansson was responsible for matters relating to Hong Kong.
• East Capital Explorer AB (publ) listed on OMX Nordic Exchange
  Mannheimer Swartling has assisted Citigroup, Carnegie and Morgan Stanley in connection with the listing of East Capital Explorer AB on the OMX Nordic Exchange Stockholm. East Capital Explorer AB is a newly founded company which focuses on investments in Eastern Europe. In connection with the listing, East Capital Explorer carried out a new issue of shares of a total of SEK 3,4 billion.Eva Hägg was the partner in charge, assisted by Johan Wigh and Åsa Rydstern
• Coding Technologies acquired by Dolby Laboratories
  Mannheimer Swartling has represented the majority shareholders in the sale of Coding Technologies AB to Dolby Laboratories, Inc. Coding Technologies is a provider of audio compression technologies for the mobile, digital broadcast, and Internet markets. The purchase price was USD 250 million, net of cash. Adam Green was the partner in charge assisted primarily by Andreas Elving, Frida Fexler and Patrik Lilieblad. Claudia Wallman provided specialist Intellectual Property advice, and Karin Gustafsson, Stefan Perván Lindeborg and Johan Swahn provided tax, competition and employment advice, respectively. Annika Andersson advised on share capital and incentive programme issues and Jesper Johansson on opinion matters. Oliver Schulte, Christian Bloth and Nelli Schiebeler handled German law matters.
• Mannheimer Swartling is advising the Board of Securitas Direct in connection with the public offer to the shareholders in Securitas Direct
  Mannheimer Swartlnig is advising the committee of the Board of Securitas Direct in connection with the public offer to the shareholders in Securitas Direct. The shares of series B in Securitas Direct are listed on the OMX Nordic Exchange Stockholm. The offer values the share capital of Securitas Direct at approximately SEK 9.6 billion, including the value offered for the outstanding warrants.Responsible partners are Claes Albinsson and Tom HÃ¥rd, assisted by Nils Nostell, Johanna Stenmann and Johan Wigh.
• Getinge acquires the Cardiac Surgery and Vascular Surgery divisions of the Boston Scientific Corporation
  Mannheimer Swartling has advised Getinge AB in connection with the acquisition of the Cardiac Surgery and Vascular Surgery divisions of the Boston Scientific Corporation in USA.Mannheimer Swartling acted as Swedish legal counsel in the transaction with main responsibility for financing and anti-trust issues world wide with the exception of USA and Canada. The purchase price amounts to USD 750 million (SEK 4 760 million). Responsible partners were Claes Albinsson in general corporate matters, Jürgen Busch in anti-trust matters and Zoran Stambolovski in financing matters, assisted by Ola Larsson and Susanne Forsberg.

• AB Annas Pepparkakor has entered into an agreement concerning sale and leaseback of an industrial property at Tyresö
  Mannheimer Swartling has assisted AB Annas Pepparkakor in the sale of an industrial property to Storstockholms Industrifastigheter AB for approxmately SEK 60 millions. The sale was effected by way of a transfer of all shares in Pepparkakshuset i Tyresö AB. AB Annas Peparkakor will be the tenant in accordance with a lease with a term of 15 years. The partner responsible for the matter at Mannheimer Swartling was Klas Wennström (real estate), assisted by Katarina Bjelkow Rössel, Daniel Jönsson, Stina Nordenstam and Elisabet Dahlman Löfgren (tax).
• Global Eiendom Utbetaling Norge 2007 AS refinances Finish property portfolio
  Mannheimer Swartling has advised Global Eiendom Utbetaling Norge 2007 AS in connection with the refinancing of a portfolio consisting of five commercial properties in Uleåborg, Tammerfors and Helsinki in Finland. The acquisition has already been announced. The portfolio was acquired from NIAM Fund III and the transaction value amounted to approximately EUR 125 million.Partner in charge at Mannheimer Swartling was Zoran Stambolovski, primarily assisted by Maria Tholin.
• Scandic to build 572 rooms hotel on Potsdamer Platz in Berlin
  Mannheimer Swartling has assisted Swedish hotel operator Scandic entering into a partnership with Danish real estate developer Schaumann Properties A/S to develop a new hotel with 572 rooms located at Potsdamer Platz in Berlin. The hotel marks the first serious step on Scandics new international growth strategy and is expected to open in February 2010. The hotel is a part of a larger development scheme at Potzdamer Platz. The scheme will also include a residential part, wellness & fitness as well as other commercial elements. Potsdamer Platz is one of the very centres of Berlin within easy reach of the greater parts of the inner city.Maria Wolleh was the responsible partner of the transaction, who was assisted by associate Carsten Schippmann.
• Scandic builds a new hotel in Kista and purchases a hotel in Stockholm
  Mannheimer Swartling has assisted Scandic Hotels Aktiebolag when Scandic entered into a new lease for a 400 room hotel in a 30 floor building under construction in Kista, Stockholm. The hotel is planned to open during the autumn 2009.Further, Mannheimer Swartling has assisted Scandic Hotels Aktiebolag on its acquisition of Hotell Wallin adjacent to Norra Bantorget in Stockholm. The hotel has approximately 180 rooms. Scandic take over the hotel on 15 November 2007. The matters were headed by Klas Wennström (partner), who was assisted mainly by Girion Blomdahl and Caesar Lahdo.
